1. Product Overview

Market Forces is a limited physical trading card game product offered as a collectible and entertainment product. It is not a financial product, security, commodity interest, investment contract, or investment opportunity.

No statement made by SegMint, VanEck, Syncd, or any affiliated party should be interpreted as investment advice or as a representation that the Product will appreciate in value, have resale value, or be eligible for resale on any platform.

2. Limited Supply

The public supply of Market Forces is limited to 8,000 units.

All pre-orders are subject to availability, eligibility, quantity limits, payment confirmation, fraud prevention review, and operational constraints. SegMint may reject, cancel, limit, or modify any order at its discretion, including where SegMint suspects fraud, bot activity, abuse, duplicate ordering, payment failure, or technical error.

3. Syncd Premium Early Access

Eligible Syncd Premium members may receive early or priority access to pre-order Market Forces before the Product is made available to the general waitlist or public.

Syncd Premium membership provides eligibility for early access only. It does not guarantee the ability to purchase, reserve, receive, or obtain any Product or allocation. Market Forces may sell out during any access window.

Syncd is owned by SegMint Collectibles, LLC. Syncd may be used to determine eligibility for early access, but purchases are made through this Store and are governed by these Pre-Order Terms.

4. Waitlist Access

After any Syncd Premium early-access period, remaining inventory, if any, may be made available to waitlist participants.

Joining the waitlist does not guarantee the ability to purchase or receive the Product. Waitlist access may be limited to users located in the United States or other eligible jurisdictions, as determined by SegMint.

5. Pre-Order and Payment

By placing a pre-order, you authorize SegMint or its payment processor to charge the full purchase price, plus any applicable taxes, shipping, handling, or other fees disclosed at checkout.

Your order is not accepted until payment is successfully processed and you receive an order confirmation. SegMint reserves the right to cancel any order before fulfillment.

6. Estimated Fulfillment Timeline

Market Forces is expected to be distributed by end of 2026.

This timeline is an estimate only and is not guaranteed. Delays may occur due to manufacturing, printing, supply chain, logistics, carrier, customs, operational, or other factors. SegMint will make reasonable efforts to provide updates regarding material delays.

7. Shipping and Delivery

You are responsible for providing accurate shipping information. SegMint is not responsible for delays, failed deliveries, or lost shipments resulting from inaccurate or incomplete shipping information provided by you.

Shipping fees, taxes, and any applicable charges will be disclosed at checkout or before fulfillment where applicable. Risk of loss transfers to you upon delivery to the shipping address provided, unless otherwise required by applicable law.

8. Cancellations and Refunds

SegMint may cancel any pre-order at any time before fulfillment and issue a refund to the original payment method.

Customer cancellation and refund rights, if any, will be governed by the refund policy displayed on the Store at the time of purchase. Once fulfillment begins, orders may not be cancellable or refundable except as required by applicable law or expressly stated by SegMint.

9. Product Changes

SegMint may modify Product packaging, design, contents, specifications, timing, or related details before fulfillment, provided that the Product remains substantially consistent with the description made available at the time of pre-order.

Images, mockups, card art, packaging, and promotional materials shown before fulfillment may be illustrative and subject to change.

10. No Investment Purpose

You acknowledge and agree that:

• Market Forces is intended for collection, gameplay, and personal enjoyment;
• You are not purchasing Market Forces for investment purposes;
• SegMint does not guarantee scarcity value, resale value, market demand, or future liquidity;
• No secondary market is promised or guaranteed; and
• You are solely responsible for any tax consequences arising from your purchase, ownership, sale, or transfer of the Product.

11. Third-Party Services

The Store may use third-party platforms, payment processors, shipping providers, or other service providers, including Shopify or related services. Your use of those services may be subject to additional third-party terms and policies.

SegMint is not responsible for third-party platform outages, payment processor errors, carrier delays, or other failures outside SegMint’s reasonable control, except as required by applicable law.

12. Relationship to SegMint GTC

These Pre-Order Terms supplement SegMint’s General Terms & Conditions. The SegMint GTC remain in effect except to the extent expressly modified by these Pre-Order Terms for Market Forces.

For clarity, Market Forces is a physical product pre-order and is not an NFT, Digital Asset, Blockchain transaction, or tokenized collectible unless SegMint expressly states otherwise in writing.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SegMint will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to Market Forces, including delays, cancellations, changes to the Product, inability to purchase, or loss of expected value.

Nothing in these Pre-Order Terms limits liability that cannot be limited under applicable law.

14. Governing Law

These Pre-Order Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

For users acting in a business or commercial capacity, the exclusive jurisdiction for disputes arising from these Pre-Order Terms shall be the state or federal courts located in New York, New York.
